RECORDING CONSENT, AUTHORIZATION & USER RESPONSIBILITY AGREEMENT

IMPORTANT — PLEASE READ BEFORE PARTICIPATING IN A RECORDING SESSION

Studio2U is a technology platform that facilitates connections between clients, artists, recording engineers, producers, and other independent service providers.

Studio2U does not conduct the recording session, determine whether a recording is lawful, obtain consent on behalf of users, or act as an agent for any participant unless expressly stated in a separate written agreement.

The individual who initiates, makes, directs, authorizes, or participates in a recording is responsible for ensuring that the recording and its subsequent use comply with applicable law.

1. MY REPRESENTATION

By accepting this Agreement, I represent and agree that:

I am responsible for determining whether I have the legal right to record any person, conversation, performance, voice, sound, or other communication.

I will obtain all notices, permissions, releases, and consents required by applicable federal, state, local, or other law before making or using a recording.

I understand that recording laws can vary depending upon the jurisdiction, location, participants, circumstances, and type of communication being recorded.

2. CONSENT OF PERSONS BEING RECORDED

Before recording another person, I will provide whatever notice and obtain whatever consent is legally required.

Where applicable, I will ensure that every person whose communication is being recorded has provided the legally required consent.

I will not rely on Studio2U to determine whether one-party consent, two-party consent, all-party consent, written consent, verbal consent, or another form of authorization is required.

If I am uncertain whether recording is lawful, I agree not to proceed until I have obtained appropriate legal advice or otherwise obtained the permissions required by applicable law.

3. NO SECRET OR UNLAWFUL RECORDING

I agree that I will not use Studio2U to facilitate:

• Unlawful audio recording;
• Unlawful interception of communications;
• Unlawful surveillance;
• Secret recording where prohibited by law;
• Recording conducted for an unlawful or tortious purpose;
• Harassment or intimidation through recording;
• Blackmail or extortion;
• Unauthorized publication or distribution of recordings;
• Unauthorized use of another person's voice or performance; or
• Any other activity that violates applicable law.

4. STUDIO2U IS NOT THE RECORDER

I acknowledge that Studio2U is a technology platform and marketplace.

Studio2U may facilitate a connection between me and another user or service provider.

The fact that a recording session was discovered, booked, scheduled, paid for, or communicated through Studio2U does not mean that Studio2U:

• Directed the recording;
• Authorized the recording;
• Determined that the recording was lawful;
• Obtained consent from participants;
• Guaranteed that consent was legally sufficient;
• Owns the resulting recording;
• Controls what occurs during the recording session; or
• Accepts responsibility for the independent conduct of the participants.

5. INDEPENDENT USER RESPONSIBILITY

I understand that I am solely responsible for my own actions.

If I initiate, request, direct, perform, participate in, authorize, possess, distribute, publish, sell, or otherwise use a recording, I am responsible for determining that my conduct is lawful.

I will not represent to another person that Studio2U has determined that my recording activity is legal.

6. RECORDINGS MADE DURING A BOOKED SESSION

A Studio2U booking does not automatically grant me ownership or permission to record every person present at the session.

I am responsible for identifying everyone who may be recorded and determining whether each person's participation and recording requires authorization.

Where applicable, I will obtain releases concerning:

• Voice;
• Performance;
• Likeness;
• Name;
• Image;
• Musical performance;
• Spoken material;
• Interviews;
• Background conversations;
• Copyrighted material; and
• Any other protected material.

7. LOCATION PERMISSION

I am responsible for ensuring that the location where the recording occurs permits the recording activity.

If a recording occurs at a residence, business, studio, hotel, vehicle, workplace, event, public venue, or other location, I am responsible for obtaining any permission required from the owner, operator, occupant, organizer, or other authorized party.

Studio2U does not represent that any particular location is legally authorized for recording.

8. RECORDING OWNERSHIP AND RIGHTS

Studio2U does not automatically acquire ownership of recordings created during a Studio2U session.

Ownership, licensing, copyright, publishing, master rights, performance rights, royalties, and other intellectual-property rights must be determined between the appropriate parties.

Users are responsible for obtaining whatever agreements are necessary concerning ownership and use of recordings.

9. USER INDEMNIFICATION

To the maximum extent permitted by applicable law, I agree to defend, indemnify, and hold harmless Studio2U, its owners, officers, directors, employees, contractors, affiliates, agents, licensors, and service providers from claims, damages, liabilities, losses, expenses, and reasonable attorneys' fees arising out of or relating to:

1. My recording activities;
2. My failure to obtain legally required consent;
3. My violation of recording or wiretap laws;
4. My violation of privacy rights;
5. My unauthorized use of another person's voice, likeness, performance, or content;
6. My conduct during a Studio2U session;
7. My distribution or publication of a recording;
8. My violation of applicable law;
9. My violation of another person's rights; or
10. My breach of this Agreement.

This indemnification obligation does not apply to liability that cannot lawfully be shifted or waived.

10. RELEASE AND LIMITATION OF LIABILITY

To the maximum extent permitted by law, I acknowledge that Studio2U is not responsible for the independent actions, omissions, statements, recordings, conduct, negligence, intentional misconduct, or unlawful activities of other users.

To the maximum extent permitted by law, I release Studio2U from claims arising from the independent recording activities or conduct of other users, except for liability that cannot legally be released.

Nothing in this Agreement is intended to eliminate liability that applicable law prohibits a company from eliminating.

11. NO LEGAL ADVICE

I understand that Studio2U does not provide legal advice.

Nothing on Studio2U, including this Agreement, should be interpreted as legal advice regarding whether a specific recording is lawful.

I understand that federal law and state laws can differ concerning interception and recording of communications.

If I have questions about the legality of a recording, I should consult a qualified attorney before proceeding.

12. REQUIRED ELECTRONIC ACKNOWLEDGMENT

I UNDERSTAND AND AGREE:

• ☐ I understand that Studio2U does not determine whether my recording is legal.
• ☐ I agree to obtain all legally required consent before recording another person.
• ☐ I will not use Studio2U for unlawful recording, surveillance, interception, harassment, blackmail, extortion, or other unlawful conduct.
• ☐ I understand that a Studio2U booking does not itself constitute consent from anyone being recorded.
• ☐ I understand that I am responsible for obtaining any required location permissions.
• ☐ I understand that Studio2U is a technology platform that facilitates connections between users and independent service providers.
• ☐ I agree to the indemnification and limitation-of-liability provisions of this Agreement and the Studio2U Terms of Service, to the maximum extent permitted by law.
• ☐ I have had an opportunity to read this Agreement before participating in the recording session.
